Andhra Pradesh Cabinet Approves Universal Health Insurance, Medical Colleges, and Investment Proposals (Start of September)

  • An absolute threshold of Rs 5,000 crore as an upper ceiling has been notified for listed entities having a turnover above Rs 40,000 crore to protect the interests of minority shareholders.
  • Earlier, a listed entity was required to consider an RPT as material if the transaction exceeded Rs 1,000 crore or 10 per cent of the entity's annual consolidated turnover, whichever is lower.
  • The new norms came after stakeholders pointed out that the absolute materiality threshold of Rs 1,000 crore promotes a 'one-size-fits-all' approach.
  • Sebi has relaxed the minimum information required to be furnished to the audit committee and shareholders for RPT approvals for smaller transactions.
  • If the total value of RPTs with a related party in a financial year does not exceed 1 per cent of the listed entity's annual consolidated turnover or Rs 10 crore, whichever is lower, then a simplified set of disclosures would be submitted for approval.
  • Omnibus approval granted by the shareholders for material related party transactions in an annual general meeting shall be valid till the date of the next annual general meeting (AGM).

SEBI imposes fresh intraday derivative position limits effective October 1 (Start of September)
  • Traders will now be allowed to take a maximum of Rs 5,000 crore worth of intraday net positions and Rs 10,000 crore in gross positions in index options.
  • SEBI has instructed stock exchanges to conduct at least four random checks of traders’ positions during the trading session, with one snapshot between 2:45 PM and 3:30 PM.
  • The new framework applies only to index options such as those on the Nifty and Bank Nifty, and not to stock options or futures.
Sebi Notifies Easier Delisting Rules for PSUs with 90% Government Holding (Mid of September)
  • Markets regulator Sebi has introduced special measures for voluntary delisting of PSUs, where the government owns 90 per cent or more stake.
  • Such measures include relaxations from the requirement of a two-thirds threshold for approving delisting by public shareholders and in the mode of computation of the floor price.
  • Also, such delisting can happen at a fixed price - at least 15 per cent premium over the floor price.
  • In its notification dated September 1, Sebi said the rule is applicable for PSUs-- excluding banks, Non-banking Financial Companies (NBFCs) and insurance companies-- where the state owns 90 per cent or more stake.
  • The floor price for delisting will be calculated using the highest of three options-- volume weighted average price paid during the 52 weeks immediately preceding the reference date; highest price paid during the 26 weeks immediately preceding the reference date; and the price determined by the joint valuation report obtained by two independent registered valuers.
  • The amount which is due to the public shareholders who have not tendered their shares during the period of one year from the date of delisting would be transferred to an appropriate account of designated stock exchange.
  • This would be held for a period of 7 years, during which time the investors can claim such amount from the stock exchange.
SEBI Caps Weights in Non-Benchmark Indices and Tightens Rules (Start of November)
  • SEBI has capped the weight of top stocks in non-benchmark indices like Bank Nifty.
  • Under the revised framework, the top constituent's weight cannot exceed 20%.
  • The combined weight of the top three stocks must be capped at 45%.
  • The new norms apply to popular non-benchmark indices, including BANKNIFTY, BANKEX, and FINNIFTY.

  • All coal-based thermal power plants in Delhi-National Capital Region (NCR) are directed to use a 5 per cent (by weight) blend of biomass pellets and an additional 2 per cent blend of either biomass pellets or torrefied charcoal made from MSW, along with coal, with effect from financial year 2025-26.
  • Other thermal power plants outside NCR will have to co-fire 5 per cent (by weight) of biomass pellets or torrefied MSW charcoal from 2025-26.
